CCNEP CNB Financial ADRs of 7.125% Series A Fixed- Rate Non-Cumulative Preferred
We will pay dividends on the Preferred Stock, when, as, and if declared by our board of directors or a duly authorized committee of our board of directors, to the extent that we have lawfully available funds to pay dividends. From the issue date, dividends on the Preferred Stock will accrue on a non-cumulative basis at a rate of 7.125% per annum on the liquidation preference of $25 per share, payable quarterly, in arrears, on the 1st day of each of March, June, September and December, commencing on December 1, 2020. We may redeem the Preferred Stock at our option, (i) in whole or in part, from time to time, on any dividend payment date on or after September 1, 2025 at a redemption price equal to $25 per depositary share, plus any declared and unpaid dividends, without accumulation of any undeclared and unpaid dividends, to, but excluding, the redemption date.
