CODI-A Compass Diversified Holdings 7.250% Series A Preferred Shares

When, as, and if declared by the board of directors of Compass Group Diversified Holdings LLC, which we refer to as the company, distributions on the Series A Preferred Shares will be payable quarterly on January 30, April 30, July 30 and October 30 of each year, beginning October 30, 2017, at a rate per annum equal to 7.250%. Distributions on the Shares are non-cumulative. If the board of directors of the company does not declare a distribution before the scheduled record date for any distribution period, we will not make a distribution in that distribution period, whether or not distributions on the Series A Preferred Shares are declared for any future period. At any time or from time to time on or after July 30, 2022, we may, at our option, redeem the Series A Preferred Shares, in whole or in part, at a price of $25.00 per Series A Preferred Share plus declared and unpaid distributions, if any  This security was issued by Compass Diversified Holdings , whose common stock symbol is CODI.
