ESGRO Enstar Group ADRs of 7.00% Non-Cumulative Preference Shares, Series E

We will pay dividends on the Preference Shares when, as and if declared by our board of directors or a duly authorized committee thereof. Any such dividends will be payable from the date of original issuance on a non-cumulative basis, quarterly in arrears on the 1st day of March, June, September and December of each year, beginning on March 1, 2019, at a rate equal to 7.00% of the liquidation preference per annum. On and after March 1, 2024, the Preference Shares will be redeemable at our option in whole or in part, at a redemption price of $25.00 per depositary share, plus declared and unpaid dividends, if any, to, but excluding, the date of redemption, without interest on such unpaid dividends.  This security was issued by Enstar Group Ltd, whose common stock symbol is ESGR.
