RF-E Regions Financial ADRs of 4.45% Non-Cumulative Perpetual Preferred Stock, Series E

We will pay dividends on the Preferred Stock, when, as, and if declared by our board of directors (or a duly authorized committee thereof). Dividends will accrue from the date of issuance at a rate of 4.45% per annum, payable quarterly in arrears, on March 15, June 15, September 15 and December 15 of each year, beginning on September 15, 2021. We may redeem the Preferred Stock, at our option, subject to regulatory approval (if then required), at a redemption price equal to $25 per depositary share, plus any declared and unpaid dividends (without regard to any undeclared dividends) to but excluding the redemption date, (1) in whole or in part, from time to time, on any dividend payment date on or after June 15, 2026 or (2) in whole but not in part, at any time following a regulatory capital treatment event.  This security was issued by Regions Financial Corp, whose common stock symbol is RF.
